These Terms and Conditions govern your use of the websites, products and services operated by Canada East Supply and Distribution Inc.
Nothing in these Terms limits or excludes any right or remedy that cannot legally be waived under applicable consumer-protection or other legislation.
1. About these Terms
Canada East Supply and Distribution Inc. (“CESD,” “we,” “us” or “our”) operates the following websites:

These Terms apply when you:
visit or use a CESD website;
create or use an account;
request information or a quotation;
submit an order;
purchase a product, app, subscription, Care Plan or service;
request development, maintenance or technical support;
arrange pickup, shipping, freight or delivery;
request a return, refund or warranty service;
submit content; or
otherwise interact with CESD through one of these websites.
“You” and “your” refer to the website visitor, customer, purchaser, subscriber, client or other person interacting with CESD.
If you act for a company, farm, partnership, organization or another person, “you” also includes that party where appropriate.
2. Business activities covered
These Terms apply across the CESD website portfolio, but not every section applies to every website or transaction.
CESD Inc.
CESD Inc. provides corporate information and access to information about CESD’s operations. CESD Inc. does not currently operate a general retail ecommerce catalogue.
CESDevelopment
CESDevelopment may provide:
technology and Odoo-related services;
software development;
system reviews and audits;
project services;
apps and digital products;
subscriptions;
Care Plans;
maintenance;
technical support; and
related professional services.
Livestock Equipment Canada

livestock equipment;
agricultural products;
quotations;
custom or special-order products;
ecommerce services;
shipping and delivery;
customer pickup;
returns and warranty assistance; and

4. Website use
You may use CESD websites only for lawful personal or business purposes.
You must not:
use a website fraudulently or unlawfully;
provide false, incomplete or misleading information;
impersonate another person or misrepresent your authority;
attempt to gain unauthorized access to accounts, servers, systems or information;
introduce malicious software or harmful code;
interfere with website operation or security;
probe, scan or test system vulnerabilities without written authorization;
use automated scraping, extraction or collection methods without permission;
copy or commercially exploit website content without permission;
infringe another person’s privacy, intellectual-property or other rights; or
use a CESD website in a manner that could harm CESD, its customers, service providers or systems.
We may restrict or terminate access where reasonably necessary to protect our customers, personnel, business, systems or legal rights.
5. Age, capacity and authority
You must be legally capable of entering into a binding agreement to place an order, purchase a subscription or engage CESD for services.
You must be at least 18 years old to:
place an ecommerce order;
purchase a subscription or Care Plan;
approve a development project;
accept a quotation or proposal; or
enter into another binding commercial agreement through a CESD website.
If you act for a company, farm, partnership, organization or another person, you confirm that:
you have authority to act for that party;
the information you provide is accurate; and
you are authorized to approve the applicable transaction and payment.
6. Customer and portal accounts
Some features may require an account.
You are responsible for:
providing accurate and current information;
keeping login credentials confidential;
using reasonable measures to protect the account;
restricting unauthorized access;
reviewing activity conducted through the account; and
contacting CESD promptly if you suspect unauthorized access.
Do not share passwords, complete payment-card information or other sensitive information through an unsecured message or public website field.
We may suspend or close an account that:
contains false or misleading information;
is used fraudulently or unlawfully;
creates a security risk;
infringes another person’s rights; or
materially violates these Terms.
7. Website information and availability
CESD makes reasonable efforts to keep website information accurate and current.
Website content may nevertheless contain:
typographical errors;
outdated information;
technical errors;
temporary pricing or availability errors;
incomplete descriptions; or
information supplied by manufacturers or other third parties.
We may correct errors and update website content when reasonably necessary.
Website functions may be interrupted by:
maintenance;
software updates;
equipment failures;
internet outages;
third-party services;
security events;
hosting issues; or
circumstances outside our reasonable control.
We do not guarantee that every website or feature will always be available, uninterrupted or error-free.
8. Quotations, proposals and estimates
A quotation, proposal or estimate applies only to the products, services, quantities, assumptions, location, access conditions, deliverables and other details stated in it.
A quotation or proposal is valid for the period stated in it.
If no validity period is stated, it may be revised before acceptance because of changes involving:
inventory;
supplier pricing;
freight or fuel costs;
foreign-exchange rates;
taxes;
project requirements;
labour requirements;
third-party services;
software requirements; or
product or resource availability.
Changes to the requested products, project scope, delivery destination, site conditions, timing, technical requirements or required equipment may require a revised quotation or proposal.
A quotation or proposal does not create an obligation to supply products or perform services until it has been accepted through the required process and CESD has confirmed acceptance.
9. Prices, taxes and additional charges
Unless otherwise stated:
prices are displayed in Canadian dollars;
applicable taxes are added as required by law;
prices and promotions may change before an order is accepted;
shipping, freight, delivery, installation, customization, third-party services and additional work are not included unless expressly stated;
promotional offers are subject to their published conditions and availability; and
recurring charges apply only where clearly disclosed and accepted.
Any mandatory CESD charge will be disclosed before the transaction is completed.
Government-imposed taxes and variable delivery, freight or third-party charges will be identified where applicable.
A price displayed because of an obvious typographical, technical or system error may be corrected.
If a material pricing error affects an order, subscription or service request, CESD will contact you before proceeding. You may accept the corrected transaction or cancel the affected portion for a refund of the amount paid for that portion.
10. Orders and contract formation
Submitting an order or service request is an offer to purchase the selected products or services under these Terms and any additional terms disclosed before submission.
An automated acknowledgement confirms receipt but does not necessarily mean that CESD has accepted the order or request.
CESD may review a transaction to confirm:
product or service availability;
price and taxes;
payment authorization;
delivery or service requirements;
customer and address information;
technical feasibility;
project scope;
special-order requirements;
suspected fraud or unauthorized activity; and
compliance with applicable laws and these Terms.
A transaction is accepted when CESD:
sends an acceptance or fulfilment confirmation;
confirms pickup or delivery arrangements;
confirms a subscription or service activation;
begins preparing an order for fulfilment;
begins approved project work; or
otherwise communicates acceptance.
CESD may refuse or cancel a transaction for a legitimate operational, technical, security or legal reason.
If CESD cannot accept a transaction, it will notify you and refund any amount paid for the cancelled portion.
After an online transaction is completed, CESD will provide or make available an order confirmation, invoice or other electronic record of the transaction.
Review that record promptly and contact CESD if any information is incorrect.
11. Payment
Payment must be made through a method accepted by CESD.
You confirm that:
you are authorized to use the selected payment method;
billing information is accurate; and
you will pay all properly disclosed charges.
Payments may be processed through third-party payment providers or financial institutions.
CESD does not intentionally retain complete payment-card information when a transaction is handled through an external payment processor.
Some quotations, special orders, commercial orders, subscriptions, deliveries or development projects may require:
a deposit;
advance payment;
milestone payments;
recurring payments; or
full payment before fulfilment.
Any special payment terms must be disclosed through the applicable quotation, order, subscription, Care Plan, proposal or written agreement.
Late, failed or reversed payments may result in suspension of delivery, access, subscription benefits or project work where permitted by law and the applicable agreement.
12. Physical-product information
CESD makes reasonable efforts to provide accurate product:
names;
descriptions;
photographs;
specifications;
dimensions;
capacities;
compatibility information;
prices; and
availability.
However:
colours and finishes may appear differently because of lighting, photography, screens and manufacturing variations;
dimensions, capacities and weights may be approximate;
manufacturers may change specifications or production methods;
minor cosmetic or dimensional variations may occur;
galvanized surfaces may contain normal differences in colour, texture, spangle or finish;
photographs may show optional accessories, installations, livestock, landscaping or other items that are not included; and
a product may differ slightly from photographs without affecting its intended function.
The product title, selected model or variation, written description and order confirmation determine what is included.
Contact CESD before ordering if a particular:
dimension;
fitting;
drain arrangement;
material;
accessory;
colour;
clearance;
capacity; or
compatibility requirement
is essential to your intended use.
13. Product selection, installation and alternative uses
You are responsible for determining whether a product is suitable for your intended:
application;
location;
animals;
water source;
climate;
installation method;
support structure; and
legal or safety requirements.
Before ordering or installing a product, consider:
dimensions and capacity;
available installation and delivery space;
access and clearance;
base preparation and structural support;
plumbing, drainage, filling and overflow;
water pressure and refill rate;
livestock size and drinking height;
material and chemical compatibility;
freeze protection and winter conditions;
supervision and safety; and
municipal, provincial, building, health, environmental or other requirements.
Unless expressly stated in writing, CESD does not provide engineering, plumbing, structural, electrical, building-code, public-health or legal advice.
Products manufactured for an agricultural purpose are not automatically designed, tested, certified or approved for every alternative use.
Alternative uses may include:
pools;
cold plunges;
aquaculture;
gardens;
planters;
food-related applications;
liquid storage; or
other residential or commercial applications.
Before using a product for an alternative purpose, you are responsible for investigating:
structural support and filled weight;
safe entry, exit and supervision;
drowning and child-safety risks;
sanitation and water treatment;
electrical and plumbing safety;
material compatibility;
permits, bylaws and public-health requirements; and
whether the use or modification affects warranty coverage.
Examples, photographs or customer projects are provided for general information or inspiration and do not represent that an application is safe, approved, code-compliant or covered by warranty.
14. Product availability, changes and delays
Product availability and estimated lead times may change.
An item shown as available may become unavailable because of:
simultaneous orders;
inventory errors;
supplier delays;
manufacturing changes;
transportation interruptions;
damage discovered during inspection; or
circumstances outside CESD’s reasonable control.
Availability and delivery dates are estimates unless CESD expressly agrees otherwise in writing.
CESD will communicate material delays where reasonably possible.
Do not schedule installers, contractors, plumbers, water delivery, landscaping, events or dependent services until the product has arrived and been inspected.
15. Shipping, delivery and customer pickup
The applicable Shipping or Delivery Policy forms part of these Terms.
Available shipping, freight, delivery and pickup services depend on:
the website and products involved;
dimensions and weight;
quantities;
destination;
route availability;
site access;
required trucks or equipment;
carrier availability; and
residential, rural, commercial, terminal or remote-location requirements.
You must provide accurate:
delivery information;
contact information;
access details;
site restrictions; and
unloading requirements.
Drivers and carriers have final authority over safe access and unloading.
Delivery does not automatically include:
installation;
site preparation;
assembly;
connection;
placement at the final intended location; or
movement through an unsafe or inaccessible area.
Additional charges may apply for:
an incorrect address;
an inaccessible site;
redelivery;
waiting time;
storage;
a refused shipment; or
an undisclosed access restriction,
where those charges are disclosed and permitted by law.
Customer pickup must be confirmed in advance.
Customers are responsible for bringing a suitable vehicle, trailer, tiedowns and securement equipment. CESD may refuse to load an order when the proposed arrangement appears unsafe.
After a customer-picked-up order has been loaded and leaves the pickup location, the customer is responsible for safely securing and transporting it.
16. Receiving and inspecting physical products
Inspect products promptly following delivery or pickup.
Where practical, before the driver leaves:
confirm the number of products;
confirm that products and sizes match the order;
check for visible damage;
notify the driver of a problem;
record the issue on the delivery documentation; and
take clear photographs.
If an item is damaged, incorrect or missing:
Keep the product and packaging.
Photograph the product, packaging and delivery condition.
Retain the delivery receipt and supporting documents.
Contact the applicable CESD business promptly with the order number and problem description.
Prompt reporting allows CESD to investigate and, where applicable, submit a carrier claim.
A delay in reporting does not remove a mandatory legal right, but it may make the cause and timing of damage more difficult to verify.
Do not refuse a shipment unless instructed by CESD or accepting it would be unsafe.
17. Changes, cancellations, returns and refunds
Contact CESD as soon as possible if you need to change or cancel an order or service.
A transaction may no longer be changeable or cancellable after:
a product has been ordered from a supplier;
a special-order or customized item has entered production;
an order has been picked, packaged, loaded or shipped;
delivery equipment or a carrier has been booked;
digital access or a licence has been supplied;
project work has begun;
third-party commitments have been made; or
non-refundable costs have been incurred.
CESD does not impose an automatic cancellation fee on every cancelled transaction.
Where permitted by law, a cancellation deduction may apply for a disclosed and reasonable non-refundable cost caused by the cancellation.
Returns require prior authorization. Do not ship or return a product until instructions have been provided.
Change-of-mind return eligibility may depend on:
the product;
its condition;
time since purchase;
installation or use;
health or contamination concerns;
special-order status; and
return-transportation requirements.
Unless the return results from CESD’s error, an incorrect product, an accepted warranty claim, a confirmed defect or shipping damage for which CESD accepts responsibility:
original shipping and delivery charges may be non-refundable;
the customer may be responsible for return transportation;
oversized products may require specialized arrangements; and
reasonable restocking, carrier or handling charges may apply where disclosed and permitted by law.
Digital products, activated subscriptions, completed services, customized work and consumed service time may be subject to different cancellation or refund conditions disclosed before purchase or in the applicable agreement.
Approved refunds are normally issued to the original payment method.
These conditions do not eliminate any cancellation, refund, repair, replacement or other remedy required by law.
18. Scratch & Dent, clearance and as-is products
Scratch & Dent, clearance and as-is products may have disclosed:
dents;
scratches;
cosmetic damage;
discolouration;
surface imperfections;
packaging damage;
prior handling;
repairs; or
other identified conditions.
Review all descriptions and photographs before ordering.
A condition disclosed before purchase is not an undisclosed defect merely because it affects appearance.
Photographs form part of the condition description when they show the actual item offered.
Scratch & Dent, clearance and as-is products may be final sale for change-of-mind purposes where clearly disclosed.
This does not exclude rights concerning:
an undisclosed material defect;
misrepresentation;
a product supplied in error;
damage that was not disclosed; or
another right that cannot legally be waived.
19. Manufacturer warranties and product support
Some products include a manufacturer’s limited warranty.
Warranty duration, coverage, exclusions, remedies and claim requirements are determined by the manufacturer’s official written warranty.
A CESD warranty or product-support page may provide general information but does not replace the manufacturer’s official terms.
To request warranty assistance, you may be required to provide:
proof of purchase;
product and model information;
a description of the issue;
photographs or video;
installation and usage information; and
other information reasonably required to assess the claim.
Do not repair, modify, dispose of or return a product unless instructed.
Manufacturer warranties may exclude damage caused by:
improper installation;
inadequate support;
misuse;
freezing;
impact;
chemical incompatibility;
unauthorized modification;
normal wear;
natural events; or
transportation after customer pickup.
Manufacturer warranty limitations do not replace or reduce any statutory warranty or consumer right that applies.
20. Apps and digital products
Apps, software, downloads and other digital products may be governed by additional:
licence terms;
usage restrictions;
compatibility requirements;
documentation;
subscription terms; or
third-party platform terms
disclosed before purchase or access.
Unless expressly stated otherwise:
purchasing an app or digital product grants only the usage rights described with that product;
ownership of the underlying software and intellectual property is not transferred;
access must not be shared, copied, resold or distributed except as permitted;
the customer is responsible for confirming compatibility and system requirements;
installation, customization, data migration and ongoing support are not included unless stated; and
third-party software, hosting and platform changes may affect compatibility or operation.
CESD may provide updates, corrections or new releases according to the policy applying to the particular app or digital product.
No app or software can be guaranteed to be free of every defect or compatible with every future third-party platform version.
Mandatory legal rights remain unaffected.
21. Subscriptions and Care Plans
Subscriptions and Care Plans are governed by:
the plan description;
checkout disclosures;
the applicable quotation or order;
the stated billing period;
included service limits;
renewal and cancellation information; and
any additional written agreement.
Before purchasing, review:
what is included;
what is excluded;
the billing frequency;
the initial term;
whether renewal is automatic;
how cancellation works;
any usage or support limits; and
charges for work outside the plan.
A subscription or Care Plan does not include unlimited work, continuous monitoring, emergency response or guaranteed resolution unless expressly stated.
Work outside the included scope may require:
a separate quotation;
additional approval;
additional payment; or
a separate project agreement.
Recurring charges will apply only where the recurring arrangement and price have been disclosed and accepted.
CESD will provide renewal, cancellation and amendment rights required by applicable law.
Cancellation applies going forward and does not automatically refund services already supplied, service time already used or non-refundable third-party costs, except where required by law or the applicable agreement.
22. Development projects and professional services
Development, implementation, audit, configuration, migration, maintenance and technical-support services may be governed by a separate:
quotation;
proposal;
statement of work;
project plan;
service order;
subscription;
Care Plan; or
written agreement.
The applicable document should identify:
scope;
assumptions;
deliverables;
responsibilities;
exclusions;
fees;
payment schedule;
estimated timing;
acceptance criteria;
change-control process; and
ownership or licensing of deliverables.
Project dates and estimates depend on timely access to:
accurate information;
required systems;
customer decisions;
approvals;
content;
data;
personnel;
third-party services; and
other dependencies.
A delay or change in those dependencies may affect timing, cost or feasibility.
CESD does not guarantee a particular financial, operational, search-ranking, regulatory or business outcome unless expressly stated in writing.
Recommendations and services are based on the information and access reasonably available at the time.
Material changes to scope require written approval and may require adjusted fees or timelines.
23. Customer responsibilities for services
When receiving development or technical services, you are responsible for:
providing accurate and complete information;
identifying authorized decision-makers;
supplying required access in an approved manner;
maintaining appropriate backups unless backup responsibility is expressly assigned to CESD;
reviewing and approving material decisions;
testing deliverables where requested;
confirming that you have rights to provide supplied data, software and content;
maintaining required third-party licences and subscriptions;
following security and implementation instructions; and
promptly reporting errors or concerns.
Do not provide unnecessary personal information, credentials or confidential information through an unsecured method.
You remain responsible for final business, legal, accounting, tax, safety and regulatory decisions unless a separate written agreement expressly assigns a particular responsibility to CESD.
24. Intellectual property and project deliverables
Unless otherwise stated, CESD or its licensors own the intellectual property in:
website content;
logos;
graphics;
photographs;
videos;
software;
apps;
code;
documentation;
templates;
development tools;
methodologies; and
reusable systems.
You may view and print website content for personal, non-commercial purchasing or reference purposes.
You may not reproduce, republish, distribute, sell, modify or commercially exploit CESD content without permission except where permitted by law.
Manufacturer names, trademarks and materials remain the property of their respective owners.
Ownership and licensing of development-project deliverables are determined by the applicable proposal, statement of work or written agreement.
Unless a written agreement states otherwise:
each party retains ownership of intellectual property it owned before the project;
CESD retains ownership of its reusable tools, methods, templates, libraries and general know-how;
third-party materials remain subject to their applicable licences; and
no intellectual-property ownership is transferred merely because services were purchased.
25. Reviews, photographs and submitted content
If you submit a review, photograph, video, testimonial, project description or other content, you confirm that:
the content is accurate and lawful;
you created it or have permission to submit it;
it does not infringe another person’s rights;
you have permission from identifiable people appearing in it; and
it does not contain confidential, defamatory, deceptive or unlawful material.
CESD may decline, edit, remove or stop displaying submitted content where reasonably necessary, but is not required to publish every submission.
Any licence or promotional permission applying to submitted content must be disclosed through the applicable submission process, website terms or separate agreement.
Personal information associated with submitted content is handled under the Privacy Policy.
26. Privacy, cookies and electronic communications
CESD’s collection, use, disclosure, retention and protection of personal information are governed by its Privacy Policy and applicable law.
Cookie and similar-technology practices are described in the Cookie Policy.
By submitting an order or request, you authorize CESD to use and disclose information reasonably required to:
communicate with you;
process payment;
prevent fraud;
fulfil the transaction;
arrange delivery or provide services;
provide customer or technical support; and
meet legal and recordkeeping obligations.
You agree that quotations, invoices, confirmations, notices and other transaction- or service-related communications may be provided electronically through the email address or account associated with the transaction.
You are responsible for keeping contact information current and retaining important transaction documents.
27. Third-party websites and services
CESD websites may link to manufacturers, suppliers, payment providers, carriers, software providers, social-media services or other third parties.
CESD does not control independently operated third-party websites and is not responsible for their:
availability;
content;
security;
privacy practices; or
independent terms.
A link does not necessarily constitute an endorsement.
Third-party products and services may be governed by their own terms, licences, warranties and privacy policies.
28. Disclaimers and limitation of liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
To the fullest extent permitted by law, CESD is not responsible for indirect, incidental, special or consequential loss arising from:
website interruption;
product delay;
improper installation;
product misuse;
an unsuitable application;
unauthorized modification;
inaccurate information supplied by the customer;
failure to follow instructions;
work performed by an independent third party;
incompatible third-party software or services; or
circumstances outside CESD’s reasonable control.
Where liability may lawfully be limited, CESD’s total liability relating to a product, subscription or service will not exceed the amount paid to CESD for the affected product or service.
This limitation does not apply to:
fraud;
wilful misconduct;
gross negligence;
liability that cannot legally be limited; or
a mandatory consumer right or remedy.
29. Commercial or unlawful misuse
To the extent permitted by law, a commercial customer is responsible for claims, losses or reasonable expenses resulting from its:
unlawful use of a website, product or service;
unauthorized product or software modification;
misleading resale representations;
infringement of another person’s rights;
misuse of supplied systems or access; or
failure to comply with applicable safety or regulatory requirements.
This responsibility does not apply to the extent that the claim resulted from CESD’s own breach, negligence or unlawful conduct.
30. Changes to these Terms
CESD may update these Terms to reflect changes in:
websites;
products;
services;
technology;
operations; or
legal obligations.
The revised Terms apply from the effective date shown at the beginning of the page.
Changes do not retroactively alter an accepted order, active subscription or signed project agreement unless:
required by law;
permitted through the applicable agreement; or
agreed by the parties.
The version in effect when a transaction is accepted will generally govern that transaction.
If a material change affects an active recurring consumer agreement, CESD will provide the notice, consent and cancellation rights required by applicable law.
31. Governing law and mandatory rights
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.
Disputes are subject to courts having jurisdiction in Ontario, except where applicable law gives a consumer the right to bring a proceeding in another jurisdiction.
Nothing in these Terms limits:
a mandatory consumer-protection right;
a statutory warranty;
a right arising from an unfair practice or misrepresentation;
a cancellation or refund right required by law; or
another remedy that cannot legally be waived.
32. General provisions
If part of these Terms is invalid or unenforceable, it will be limited or removed only to the extent necessary. The remaining provisions will continue.
A failure or delay in enforcing a provision does not waive the right to enforce it later.
You may not transfer an accepted order, subscription or service agreement without CESD’s written consent.
CESD may assign its rights or obligations as part of a business reorganization, sale, financing or transfer, provided that doing so does not reduce a mandatory consumer right.
These Terms, together with the applicable:
product or service page;
checkout disclosures;
order confirmation;
quotation or proposal;
subscription or Care Plan description;
statement of work;
Shipping or Delivery Policy;
Returns Policy;
Privacy Policy;
Cookie Policy;
manufacturer warranty;
app or software licence;
project-specific agreement; and
other accepted written terms
form the agreement for the applicable transaction.
If an order-specific quotation, proposal, statement of work or signed agreement conflicts with these general Terms, the more specific accepted provision governs that transaction.
A manufacturer’s official warranty governs manufacturer warranty coverage, subject to mandatory legal rights.
